Public Offer (agreement) for the Lease of Real Estate
Individual Entrepreneur Rima Munavirovna Yakupova, hereinafter referred to as the “Lessor”, hereby offers any natural person or legal entity, hereinafter referred to as the “Lessee”, the temporary possession and use of premises (yurts) located at the “YURT RESORT” glamping site at the following address: Russian Federation, Republic of Tatarstan, Pestrechinsky District, Koschakovo Settlement.
This offer, pursuant to Clause 2, Article 437 of the Civil Code of the Russian Federation (hereinafter — “CC RF”), constitutes a public offer, the full and unconditional acceptance (“acceptance”) of which, in accordance with Article 438 CC RF, shall be deemed the payment by the Lessee of the rental fee (or part thereof) in the manner specified in Section 4 “Booking, Rent and Payment Procedure” of this Public Offer.
Upon the Lessee’s acceptance of this Public Offer, a Lease Agreement (hereinafter — the “Agreement”) shall be deemed concluded between the Lessor and the Lessee under the terms set forth below.
This offer, pursuant to Clause 2, Article 437 of the Civil Code of the Russian Federation (hereinafter — “CC RF”), constitutes a public offer, the full and unconditional acceptance (“acceptance”) of which, in accordance with Article 438 CC RF, shall be deemed the payment by the Lessee of the rental fee (or part thereof) in the manner specified in Section 4 “Booking, Rent and Payment Procedure” of this Public Offer.
Upon the Lessee’s acceptance of this Public Offer, a Lease Agreement (hereinafter — the “Agreement”) shall be deemed concluded between the Lessor and the Lessee under the terms set forth below.
1.1. Lessee — a natural person aged 18 or older, or a legal entity, that has accepted the Public Offer under its terms.

2.1. The Lessor shall provide, for a fee, and the Lessee shall accept into temporary possession and use, the real estate (“the Property”), the location and characteristics of which are specified in the corresponding Order, which forms an integral part of this Agreement.
2.2. The Property is leased for the purpose of the temporary accommodation (lodging) of individuals for the agreed rental period, under the terms established by the Lessor and agreed by the Parties in the relevant Order.
2.3. By entering into this Agreement, the Lessee confirms that they have read and agree to the rental terms, rates, Rules of Stay, and other information provided by the Lessor on the official Website.
2.4. The Lessor reserves the right to amend or supplement the terms of this Public Offer. In case of amendments, the Lessor shall publish the new effective version of the Public Offer, and the date of publication shall be deemed the effective date of the updated Offer. The Lessee is responsible for independently monitoring the current version of the Public Offer; the risk of failing to review it in a timely manner rests with the Lessee.
2.5. Continuing with payment after such amendments or supplements have been introduced shall constitute the Lessee’s agreement with those changes.
2.6. The risk of accidental loss or damage to the Property transfers to the Lessee upon its hand-over. In the event of loss or damage to the Property due to the Lessee’s fault, the Lessee shall compensate the Lessor for damages based on an expert assessment agreed upon by both Parties.
2.7. The Lessee acknowledges that the lease of the Property does not constitute the provision of hotel services within the meaning of applicable Russian law.
2.8. The Lessor may provide Additional Services for a separate fee that are not included in the rental price of the Property. Additional Services shall be paid for by the Lessee on-site.

2.3. By entering into this Agreement, the Lessee confirms that they have read and agree to the rental terms, rates, Rules of Stay, and other information provided by the Lessor on the official Website.
2.4. The Lessor reserves the right to amend or supplement the terms of this Public Offer. In case of amendments, the Lessor shall publish the new effective version of the Public Offer, and the date of publication shall be deemed the effective date of the updated Offer. The Lessee is responsible for independently monitoring the current version of the Public Offer; the risk of failing to review it in a timely manner rests with the Lessee.

2.8. The Lessor may provide Additional Services for a separate fee that are not included in the rental price of the Property. Additional Services shall be paid for by the Lessee on-site.
3.1. The calendar dates for the start and end of the rental period shall be agreed by the Parties in the corresponding Order. The termination date of the rental period shall be recorded by the Parties in a Property Return Act.
4.1. The Lessee may book a yurt through the Lessor’s Website or via messaging / social-media platforms such as Telegram, WhatsApp, Instagram.
4.2. A booking becomes valid once the Parties agree on the rental terms (type of yurt, price, duration and conditions of stay, and other details) and the Lessee pays 100% of the first night’s rental fee at the agreed rate. The portion of the rental fee paid at the time of booking is non-refundable if the Lessee cancels the booking less than 168 hours (7 days) before the agreed start date of the rental period.
4.3. The Parties shall agree on the amount of rent and the payment procedure in the relevant Order.
4.4. The Lessee shall pay the full rental amount no later than the agreed start date of the rental period.
4.5. The payment date (the moment the Lessee’s payment obligations are deemed fulfilled) shall be the date on which the funds are received in the Lessor’s bank account or cash desk.
4.2. A booking becomes valid once the Parties agree on the rental terms (type of yurt, price, duration and conditions of stay, and other details) and the Lessee pays 100% of the first night’s rental fee at the agreed rate. 5.1. The Lessor undertakes to:
• Deliver the Property in good and usable condition;
• Not obstruct the Lessee’s use of the Property for the agreed rental purpose.
5.2. The Lessor has the right to: Unhindered access to the Property at any time of day for the purpose of inspecting compliance with the terms of use under this Agreement, having notified the Lessee in advance (except in emergencies when prior notice is not required).
• Deliver the Property in good and usable condition;
• Not obstruct the Lessee’s use of the Property for the agreed rental purpose.
5.2. The Lessor has the right to: Unhindered access to the Property at any time of day for the purpose of inspecting compliance with the terms of use under this Agreement, having notified the Lessee in advance (except in emergencies when prior notice is not required).
6.1. The Lessee undertakes to:
• Accept the Property;
• Use the Property in accordance with applicable law, this Agreement, the Rules of Stay, and solely for the intended purpose specified in the corresponding Order;
• Make timely rental payments and duly fulfill all other financial obligations under this Agreement.

7.1. For non-performance or improper performance of their obligations under this Agreement, the Parties shall be liable as stipulated herein and/or under applicable Russian law.
7.2. The Lessor shall not be liable for the safety of the Lessee’s belongings (in case of theft, damage, etc.) located on the Property, unless such belongings have been formally deposited with the Lessor for safekeeping (a paid service).
7.3. In the event of late return of the Property by the Lessee, the Lessee shall, at the Lessor’s request, pay rent for the period of unauthorized use of the unreturned Property.
7.4. In case of early termination of the Agreement at the Lessee’s initiative for reasons beyond the Lessor’s control, the rent already paid shall not be refunded.
7.5. If government authorities impose financial sanctions on the Lessor due to the Lessee’s breach of obligations under this Agreement or other actions by the Lessee that result in such sanctions, the Lessee shall, within 3 days, reimburse the Lessor for losses equal to the imposed penalties, based on an invoice issued by the Lessor with proof of payment of such penalties.
7.6. The Lessee shall fully compensate the Lessor for actual damages in the event of harm caused to the Property or loss/damage to the Lessor’s possessions.
7.7. At the Lessor’s request, the Lessee shall pay the following fines:
1. 10,000 RUB for each of the following violations:
• Smoking outside designated smoking areas;
• Consuming alcoholic beverages or being on the premises while intoxicated by alcohol or narcotics;
• Washing vehicles or other machinery on or around the Property;
• Relieving oneself outside designated restroom facilities;
• Improper disposal of waste.
2. 1,500 RUB for loss of a yurt key.
3. 5,000 RUB for violating the provisions of the Rules of Stay at the glamping site.
7.8. The fines stipulated herein may be reduced at the Lessor’s discretion. Damages shall be recovered from the Lessee in addition to the above-mentioned fines.
7.9. Fines must be paid no later than 2 days from the date the Lessor issues the relevant invoice or demand.
7.10. Payment of these fines does not release either Party from fulfilling their obligations under this Agreement or from other liabilities under applicable Russian law.

8.1. In accordance with Federal Law No. 152-FZ of 27.07.2006 “On Personal Data,” the Lessee voluntarily provides the Lessor with the following personal data:
• Surname, first name, patronymic of the Lessee;
• Passport details of the Lessee;
• Other data that may be obtained during the execution of the Agreement, including that contained in documents provided by the Lessee.
8.2. Processing of personal data is carried out without the personal data subject’s consent insofar as it is required for the execution of a contract to which the personal data subject is a party, as provided in Clause 5, Part 1, Article 6 of Federal Law No. 152-FZ.
8.3. The Lessor guarantees that the Lessee’s personal data will not be distributed or disclosed to third parties without the data subject’s consent and will be used solely for the conclusion and performance of this Agreement.
8.4. The Lessee agrees to the terms of this section upon acceptance of the Public Offer.
8.5. The Lessor undertakes to ensure the confidentiality and security of personal data during processing in compliance with Russian legislation and to meet all data-protection requirements stipulated in Article 19 of Federal Law No. 152-FZ of 27 July 2006 (as amended) and related regulations.

8.2. Processing of personal data is carried out without the personal data subject’s consent insofar as it is required for the execution of a contract to which the personal data subject is a party, as provided in Clause 5, Part 1, Article 6 of Federal Law No. 152-FZ.
8.3. The Lessor guarantees that the Lessee’s personal data will not be distributed or disclosed to third parties without the data subject’s consent and will be used solely for the conclusion and performance of this Agreement.
8.4. The Lessee agrees to the terms of this section upon acceptance of the Public Offer.
8.5. The Lessor undertakes to ensure the confidentiality and security of personal data during processing in compliance with Russian legislation and to meet all data-protection requirements stipulated in Article 19 of Federal Law No. 152-FZ of 27 July 2006 (as amended) and related regulations.
9.1. Any matters not regulated by this Agreement shall be governed by the applicable laws of the Russian Federation.
9.2. All notices, requests, demands, letters, and other written communications required under or in connection with this Agreement, unless otherwise specified herein, shall be made in writing in the Russian language and shall be deemed duly delivered if handed over personally, by courier service, or sent by registered mail to the addresses specified in the relevant Appendix to this Agreement or to such other addresses as the Parties may subsequently specify in writing for correspondence.
9.3. This Agreement is drawn up and signed by the duly authorized representatives of both Parties in Russian in two copies, one for each Party.

All notices, requests, demands, letters, and other written communications required under or in connection with this Agreement, unless otherwise specified herein, shall be made in writing in the Russian language and shall be deemed duly delivered if handed over personally, by courier service, or sent by registered mail to the addresses specified in the relevant Appendix to this Agreement or to such other addresses as the Parties may subsequently specify in writing for correspondence.
9.3. This Agreement is drawn up and signed by the duly authorized representatives of both Parties in Russian in two copies, one for each Party.
